Terms of Service
Last updated: 9 October 2026
1. Agreement
These terms are an agreement between you (the dealer or shop using PhoneVault) and PhoneVault. By creating an account or using PhoneVault you agree to these terms, the Network Code of Conduct (section 6) and our Privacy Policy. If you use PhoneVault for a business, you confirm you are allowed to agree for that business.
2. What PhoneVault is
PhoneVault is software for managing a phone business: stock, sales, receipts, swaps, repairs, staff, customers, suppliers, and a network for dealing with other dealers. PhoneVault is not a buyer or seller of phones, a bank, a payment service, a police service or a government register. We record money; we do not hold or move money.
3. Accounts and approval
- You must give true details when you sign up. New shops may be checked and approved by a market admin before getting full access.
- You are responsible for everything done on your account, including by your staff.
- Keep passwords secret. Don't share logins. Give each staff member their own login.
- Tell us straight away if you think someone has got into your account.
4. Your data
- Your business records belong to you. You give us permission to store and process them only to provide PhoneVault to you and run the network features you use.
- You are responsible for having the right to put customer and staff data into PhoneVault, and for telling them how you use it. For that data you are the data controller and we are your data processor, as explained in our Privacy Policy.
- Only send marketing messages to customers who agreed to receive them. Respect "do not contact".
- If you connect your own Google Drive for backups, the backup files in your Drive are yours. You can disconnect at any time.
5. Network features
- Stock listings: items are visible to other dealers by default. You can make any item private. Make sure your listed prices and descriptions are honest.
- Deals between dealers (transfers, consignments, borrowing, disputes) are agreements between the dealers involved. PhoneVault records them and may help resolve disputes, but is not a party to the deal and does not guarantee payment.
- Stolen/lost device reports are made by dealers and device owners. They are not official police or government records. A warning is a reason to check carefully; a clear result does not prove a device is legitimate.
6. Network Code of Conduct
Everyone on PhoneVault agrees to:
- Never knowingly buy, sell or list stolen devices. If a device shows a stolen/lost warning, stop and check.
- Be honest. Correct prices, conditions and descriptions. No fake listings.
- Only report a device as stolen or lost if it truly is. False reports will lead to suspension.
- Honour your deals with other dealers. Pay consignments and return goods as agreed.
- Respect customers. No spam, no harassment, no sharing customer details outside your business.
- Don't misuse the system. No sharing logins, copying other dealers' data, automated scraping, trying to break security or get into other shops' data.
- Follow Nigerian law.
7. Fees
PhoneVault is currently free to use. If we introduce fees, we will give at least 30 days' notice. You can stop using PhoneVault before any fee applies to you.
8. Availability and backups
We work hard to keep PhoneVault running and back up data every day, but we cannot promise the service will always be available or error-free. Keep your own copies of anything critical, such as receipts you have given customers. We may change or improve features over time.
9. Suspension and closing accounts
- We may suspend or close an account that breaks these terms or the Code of Conduct, puts other dealers or customers at risk, or is used for fraud. Where it is safe to do so, we will tell you why first.
- You can stop using PhoneVault at any time and ask us for a copy of your records.
- Records connected to other dealers (such as a transfer or consignment) stay visible to the other dealer involved.
10. Our property
The PhoneVault name, logo, app and software belong to PhoneVault. You may use them only to use the service. Don't copy, resell or reverse-engineer the app.
11. No guarantees
PhoneVault is provided "as is". Numbers, reports and checks in PhoneVault are only as accurate as the information entered into it. Business decisions remain your responsibility.
12. Limit of liability
To the extent the law allows, PhoneVault is not responsible for indirect losses such as lost profit, lost business, or losses caused by other dealers, customers, staff, or incorrect data entered into the app. Our total liability to you is limited to the greater of the fees you paid us in the 12 months before the claim, or ₦100,000. Nothing in these terms limits liability that cannot be limited under Nigerian law.
13. Changes to these terms
We may update these terms. For important changes we will tell you in the app or by email at least 14 days before they take effect. Continuing to use PhoneVault after that means you accept the new terms.
14. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to settle any disagreement with you directly. If that fails, the courts of Edo State will decide.
